Terms of Service

These Terms govern use of LibriTax, operated by LibriSeed sp. z o.o. By ordering or using the service, you agree to them.

1. Provider

The service is operated by LibriSeed sp. z o.o., ul. Królowej Jadwigi 43, 61-871 Poznań, Poland, KRS 0001246642, NIP PL7831955656, REGON 544966106.

2. Business-only service

The service is offered only to businesses and professional users. By ordering, the customer confirms that it acts for business purposes and not as a consumer.

3. Scope of service

LibriSeed provides software-assisted VAT/product-tax classification support, data processing, workflow management, evidence organization, discrepancy detection, reporting infrastructure, and administrative coordination.

4. No tax advice by LibriSeed

LibriSeed does not provide tax advice, legal advice, accounting services, audit services, tax filings, declarations, representation before authorities, or binding tax opinions. Outputs generated by LibriSeed are decision-support materials and may identify potential discrepancies or candidate classifications for review.

5. Licensed tax advisor work

Where a customer requests or requires tax advice, a tax opinion, or confirmation of a tax classification, that work is provided only by an authorized tax advisor, advocate, legal counsel, auditor, or other authorized professional under a separate engagement. LibriSeed may facilitate scheduling, document flow, data exchange, reporting infrastructure, and payment administration, but it does not replace the professional advisor-client relationship.

6. Customer responsibility

The customer is responsible for the accuracy and completeness of uploaded data, including product descriptions, invoices, SKUs, markets, customer types, and tax settings. The customer remains responsible for final tax decisions, filings, invoices, and implementation in its own systems unless a separate written professional engagement states otherwise.

7. Deliverables

The “Leak Report” or equivalent report identifies potential VAT/product-tax classification issues, candidate rate references, evidence sources, confidence levels, and items recommended for professional review. It is not a binding tax opinion unless explicitly issued and signed by an authorized professional under a separate engagement.

8. Interpretation of website language

Marketing descriptions on the LibriTax website are shorthand descriptions of the service workflow. References to “reviewed rates,” “rate checks,” “classification checks,” “VAT leaks,” “mismatches,” “evidence,” “review,” “monitoring,” or similar wording mean software-assisted decision-support outputs, evidence organization, discrepancy detection, and/or items prepared for review by the customer’s accountant or an authorized tax professional.

Any statement that a classification, rate, or treatment is “advisor-reviewed,” “confirmed,” or similar means only that an authorized professional has reviewed the relevant item within the scope of a separate professional engagement or review process. It does not mean that LibriSeed sp. z o.o. itself provides tax advice, legal advice, accounting services, audit services, tax filings, representation, or a binding tax opinion.

The customer remains responsible for final implementation decisions unless a separate written engagement with an authorized professional expressly states otherwise.

9. Timing

Delivery times begin only after LibriSeed receives complete and usable data. The indicative delivery period for the Leak Report is 15 business days from receipt of complete data unless otherwise agreed.

10. Payment and refunds

Fees are due at checkout or as stated in the order. The €490 Leak Report fee is a one-time fee. If the customer subscribes to a paid LibriTax plan within 60 days, the fee may be credited to the first subscription invoice if stated in the offer. Refunds, if any, are handled according to the refund language displayed at checkout.

11. No guarantee of savings or tax outcome

LibriSeed does not guarantee tax savings, refunds, acceptance by tax authorities, audit results, or that every discrepancy will be detected. VAT and product-tax rules may change, and classification may depend on facts not visible in the provided data.

12. Prohibited use

The customer must not upload unlawful content, malicious files, data it has no right to process or share, or information that violates third-party rights.

13. Confidentiality

LibriSeed will treat customer business data, product data, invoice data, and reports as confidential and use them only to provide the service, improve internal accuracy, comply with law, or as otherwise agreed.

14. Personal data and GDPR

Where LibriSeed processes personal data on behalf of the customer, the parties will enter into or incorporate a data processing agreement under Article 28 GDPR. Sub-processors may be used only under appropriate contractual safeguards. GDPR Article 28 requires processor contracts to define the subject matter, duration, nature, purpose, data types, data-subject categories, controller obligations, processor instructions, confidentiality, security, sub-processing, deletion/return, and audit support.

15. Liability

To the maximum extent permitted by law, LibriSeed is not liable for indirect damages, lost profits, lost savings, tax penalties, audit results, or consequences of customer implementation decisions based on unreviewed decision-support outputs. For paid services, LibriSeed’s aggregate liability is limited to the fees paid by the customer for the affected service in the 3 months before the event giving rise to the claim, except where liability cannot legally be limited.

16. Complaints

Complaints may be submitted by email or contact form. The complaint should identify the customer, service, order, issue, and requested resolution. LibriSeed will respond within 14 business days unless a longer period is reasonably required.

17. Termination

For one-time reports, the contract ends after delivery and payment settlement, subject to confidentiality, payment, data-protection, and liability provisions. Subscriptions may be cancelled according to the plan terms displayed at checkout.

18. Governing law

These Terms are governed by Polish law, unless mandatory law provides otherwise.

LibriTax provides classification decision support with expert human review — it is not legal or tax advice.
